Submission Terms

This document comprises two sets of terms: the "insphigher Terms" of Use and the "insphigher Submission Terms." The "insphigher Terms of Use" outline the terms and conditions governing the use of the insphigher website or services. On the other hand, the "insphigher Submission Terms" govern the rights and responsibilities related to materials submitted by contributors to insphigher LLC ("Producer").
insphigher Terms of Use
Introduction
These "insphigher Terms of Use" govern the use of the insphigher website and services ("Company"). By accessing or using the Company, you signify your agreement with and acceptance of all these Terms.
1. Rights and Licenses
By submitting any material ("Material") to insphigher, you grant insphigher and any sublicensees a royalty-free, irrevocable, perpetual, non-exclusive, worldwide, fully sublicensable right and license to use, reproduce, distribute, publicly display, perform, edit, adapt, modify, exploit, share with and disclose to third parties, and otherwise use the Material in connection with the Company.
2. Compensation and Credit
You understand that you will not receive compensation or credit for the Material or any rights granted to insphigher and/or sublicensees herein. Any credit or attribution is at the sole discretion of insphigher.
3. Company's Discretion in Using Material
insphigher has the sole and exclusive right to determine which submissions and Material, if any, will be featured in connection with the Company. insphigher and sublicensees have no obligation to exercise the rights granted herein nor to make any use of the Material.
4. No Infringement and Compliance
You represent and warrant that the Material is wholly original, will not infringe upon the rights of any third party, and complies with all laws and regulations.
5. Material Ownership and Confidentiality
Once you submit the Material to insphigher, it becomes the property of insphigher, and insphigher is under no obligation to return or keep the Material confidential.
6. Privacy
Your submission of personal information is subject to the insphigher Privacy Policy. However, insphigher is not responsible for any personal information shared outside its request.
7. Indemnification
You agree to cooperate in the defense of any claims arising from your submission and Material. insphigher will conduct the defense at its discretion and cost.
8. Release and Limitation of Liability
You release and hold harmless insphigher and its affiliates from any liability arising from your submission and Material. insphigher is not liable for any special, indirect, or punitive damages.
9. Dispute Resolution
Any disputes related to the Company and these Terms shall be resolved through arbitration, waiving the right to trial by jury and class actions.
10. Complete Agreement
These Terms constitute the complete agreement regarding the subject matter and supersede any prior agreements related to the Material and/or the Company.Please note that this revised version provides clear divisions between the "Submission Terms" and the "insphigher Terms of Use," and it includes appropriate headings and divisions to make it easier for users to navigate and understand the different sections.
insphigher Submission Terms
Introduction
This document comprises two sets of terms: the "Submission Terms" and the "insphigher Terms of Use." The "Submission Terms" govern the rights and responsibilities related to materials submitted by contributors to insphigher LLC ("Producer"). On the other hand, the "insphigher Terms of Use" outline the terms and conditions governing the use of the insphigher website or services.
1. Contributor Materials
As a contributor ("Contributor"), you agree to provide certain materials ("Contributor Materials") to insphigher LLC ("Producer"). These materials may include, without limitation, written materials, quotations, recordings, photographs, videos, drawings, and/or other reference materials.
2. Grant of Rights
In consideration of valuable opportunities, including the opportunity to have the Contributor Materials published by Producer, Contributor hereby grants to Producer the exclusive, perpetual, worldwide rights of every kind, including any and all copyright and other intellectual property rights, in and to the Contributor Materials.
3. Exclusive Ownership and Licensing
Contributor irrevocably assigns, conveys, and transfers all right, title, and interest in the Contributor Materials throughout the world. Producer shall be the sole and exclusive owner of the Contributor Materials and is granted the exclusive, perpetual, worldwide right to license, sell, assign, dispose of, display, modify, amend, create derivatives of, sue and recover damages for, and/or otherwise exploit the Contributor Materials in any manner determined by Producer's sole discretion.
4. Use of Contributor Materials
Producer has the right to use the Contributor Materials, including Contributor's name, likeness, and biography, for any purpose whatsoever, including, but not limited to, advertising, merchandising, scripted content, social media posts, film, television, books, promotion, commercial tie-ins, and publicity in any and all media whether now or hereafter known.
5. Release and Indemnification
Contributor releases Producer, its employees, directors, licensees, and assigns from any and all claims, liabilities, demands of any kind or nature, in law or equity, related to the use of the Contributor Materials and/or Contributor's name, likeness, and/or biography. Contributor indemnifies and holds harmless Producer from any liabilities, costs, claims, damages, and expenses (including attorneys' fees) arising out of a breach of Contributor's representations, warranties, or other obligations.
6. Contributor Relationship
Contributor acknowledges that they are not an employee or partner of Producer and will not receive monetary compensation for the exploitation of the Contributor Materials.
7. Transfer and Assignment
Producer may transfer and assign this Agreement or all or any of its rights or privileges hereunder to any entity or individual without restriction.
8. Governing Law and Dispute Resolution
This Agreement shall be interpreted, enforced, and construed according to the laws of the State of California. Any disputes between Contributor and Producer shall be resolved by binding, individual arbitration under the American Arbitration Association's rules for arbitration of consumer-related disputes, waiving trial by jury and class actions.
